Terms of use.
The ground rules for using this website and working with us.
1. About these terms
These terms ("Terms") apply to your use of vrtactic.com (the "Site") and to any services provided by VR Tactic ("VR Tactic", "we", "us", "our"), a social media marketing agency run by its two founders, based in Belgrade, Serbia. Our services include social media strategy, research, content ideation, scriptwriting, video editing, motion graphics, packaging, publishing and reporting (the "Services").
By using the Site, booking a call, or buying or using the Services, you agree to these Terms. If you don't agree, please don't use the Site or the Services.
If you are a client, we may also sign a proposal, order, statement of work or other written agreement with you (a "Client Agreement"). If a Client Agreement says something different from these Terms, the Client Agreement wins for that point. Everything else in these Terms still applies.
Please also read our Privacy policy, which explains how we handle personal data.
2. Who can use the Site and the Services
- You must be at least 18 years old and able to enter a binding contract.
- If you use the Services for a business, you confirm that you are allowed to agree to these Terms on that business's behalf, and "you" includes that business.
- Our Services are intended for business and professional use, not for personal or household purposes.
3. Using the Site
You may use the Site to learn about our Services, book a call, contact us and apply for roles. You agree not to:
- break any law or anyone else's rights while using the Site;
- copy, scrape, resell or republish the Site or its content without our written permission;
- try to hack, overload, disrupt or gain unauthorised access to the Site or the systems behind it;
- upload or send viruses, malware or harmful code;
- send us spam, false information, or content that is illegal, abusive, hateful or infringes someone's rights;
- pretend to be someone else or misrepresent your connection with a person or business.
We may change, pause or remove any part of the Site at any time, without notice.
4. Free calls and information on the Site
- Booking a free call does not create a contract or any obligation for either side. We may decline to work with anyone, for any lawful reason.
- Anything we say on a free call, on the Site or in our content is general information, not a guarantee and not legal, financial, tax or other professional advice.
- Prices, packages, numbers of videos, turnaround times and other details on the Site describe how we usually work. The exact scope, price and timeline for your project are only binding once they are confirmed in a Client Agreement or a written quote or invoice that you accept.
5. Our Services
- We will provide the Services with reasonable skill and care, and in line with the scope agreed in writing.
- Timelines (for example, first scripts within the first week, first posts in the second week, or edit turnaround times) depend on you sending what we need on time, such as footage, feedback and approvals. If you are late, our timelines move accordingly.
- Work outside the agreed scope (extra videos, extra platforms, long-form videos, extra revision rounds, rush jobs) may cost extra. We will tell you before doing it.
- We may use team members and freelancers to deliver the Services. We remain responsible for their work towards you.
- We choose the tools, software, methods and creative approach, unless we agree otherwise in writing.
6. Your responsibilities as a client
To let us do our job, you agree to:
- give us accurate and complete information about your business, offer and goals;
- record and send footage, feedback and approvals on time;
- make sure you own, or have permission to use, everything you send us (footage, music, images, logos, trademarks, scripts, testimonials and other material), and that our use of it for your project won't break anyone's rights;
- get permission from every person who appears in, or is named in, your footage, including written consent from a parent or guardian for anyone under 18;
- make sure the claims in your content are true, can be backed up, and follow the laws and rules that apply to you. This includes advertising and endorsement rules (such as disclosing sponsorships and paid partnerships), consumer protection laws, and any rules for your industry, for example health, fitness, nutrition, financial, investment, legal or income claims;
- follow the rules of every platform you post on, including Instagram, TikTok, YouTube and X / Twitter;
- keep your accounts secure and tell us straight away if you notice anything suspicious.
We may refuse to create, edit or publish content that we reasonably believe is illegal, misleading, harmful, infringes someone's rights, or breaks platform rules.
7. Reviews, approval and publishing
- We will send you drafts to review. Unless your Client Agreement says otherwise, each video includes a reasonable round of revisions within the original brief.
- You are responsible for checking drafts before you approve them, including facts, claims, names, spelling, prices, links and on-screen text.
- Once you approve content, or post it yourself, or ask us to post it, it counts as approved. You are responsible for approved content and what happens after it is published.
- If you don't reply to a draft within 7 days, we may treat it as approved so the schedule can continue, unless we agree otherwise.
8. Access to your accounts
- If you give us access to your social media or other accounts, you confirm you are allowed to do so and you authorise us to use that access to provide the Services.
- We will only use access for the tasks we have agreed and will not change your account settings, passwords, payment details or ad spend without your written instruction.
- You can remove our access at any time. When our work ends, you should remove our access and change any passwords you shared.
- Platforms are run by third parties, not by us. We are not responsible for platform decisions or problems we did not cause, including algorithm changes, reduced reach, content removals, restrictions, demonetisation, suspensions, bans, outages, or security breaches of the platform itself.
9. Fees and payment
- Fees, billing periods and payment methods are set out in your Client Agreement, quote or invoice. Unless agreed otherwise, monthly packages are paid in advance, before the month's work starts.
- Prices do not include taxes, bank charges or currency conversion fees, which you are responsible for unless stated otherwise.
- If a payment is late, we may pause the Services, including publishing and delivery of files, until it is paid. We may also charge reasonable costs of collecting overdue amounts where the law allows.
- Because our work involves time, research and creative output that can't be returned, fees for work already started or delivered are not refundable, unless your Client Agreement says otherwise or the law requires a refund.
- If you think an invoice is wrong, tell us within 14 days so we can sort it out. You must still pay any part you don't dispute.
10. Ownership and intellectual property
10.1 The Site and our materials
The Site and everything on it (text, design, logo, name, graphics, videos and code) belong to VR Tactic or are used with permission. You may not copy, reuse, change or distribute them without our written permission. "VR Tactic" and our logo may not be used in a way that suggests we endorse you.
10.2 Your material
You keep ownership of everything you send us. You give us a non-exclusive licence to use, copy, edit and adapt it only to provide the Services, and as described in section 10.4.
10.3 Finished content
- Once you have paid in full for a piece of content, you own the finished, exported video or deliverable and may use it however you like, subject to the third-party licences below.
- Until full payment, we keep all rights in the finished content and you may not publish or use it, unless we agree otherwise in writing.
- We keep ownership of our own know-how, methods, research processes, templates, presets, scripts frameworks, motion graphics templates, project files and other tools we created before or outside your project, even if we use them in your content. Project files (such as editing timelines) are not included unless agreed in writing.
10.4 Portfolio
Unless you tell us otherwise in writing, we may show finished content we made for you, and your name or brand as a client, in our portfolio, on the Site and on our own social media. You can ask us to remove any piece at any time by emailing [email protected], and we will do so within a reasonable time.
10.5 Third-party material
Our content may include licensed stock footage, music, sound effects, fonts or other third-party material. That material stays owned by its creators and is licensed, not sold, to you. You must follow those licences, which may limit how the content can be used (for example, some music is only licensed for organic social media and not for paid ads). If you want to run content as paid ads, tell us first so we can check the licences.
11. No guarantee of results
Social media results depend on many things outside our control, including your offer, your pricing, your audience, your consistency, platform algorithms and the market. So, although we work hard to get results:
- we do not guarantee any specific number of views, followers, engagement, leads, sales, revenue or other results;
- examples, case studies and numbers we share describe specific past situations and are not a promise of what you will get;
- we do not guarantee that any video will go viral or that content will never be removed or restricted by a platform.
12. Confidentiality
Each side will keep the other's non-public business information confidential and only use it for working together. This includes your offer details, results, unpublished content and account access, and our pricing, processes and internal materials. This doesn't apply to information that is already public, that the other side already had, or that must be shared by law. This duty continues after our work ends.
13. Job applications and test tasks
- Applying for a role does not create an employment or work relationship. We may choose not to hire anyone, for any lawful reason.
- Any test task will be small and based on a sample or past brief. Unless we agree otherwise in writing, test tasks are unpaid, and we will not publish or use your test work commercially without your permission and payment.
- You confirm that any portfolio and samples you send are your own work, or that you clearly say what your part in them was.
14. Links and third-party services
The Site links to and uses services run by others, including Calendly, Google, Instagram, TikTok, YouTube and X / Twitter. We are not responsible for their content, policies, availability or actions. Your use of them is under their own terms.
15. Disclaimer
The Site is provided "as is" and "as available". To the fullest extent the law allows, we make no promises that the Site will always be available, error-free, secure or free of viruses, and we give no other warranties (express or implied) beyond those clearly written in these Terms or a Client Agreement.
16. Limitation of liability
- To the fullest extent the law allows, we are not liable for any indirect or consequential loss, or for loss of profits, revenue, business, opportunities, followers, reach, goodwill or data, however it arises.
- For the Site, which is free to use, our total liability to you is limited to EUR 100.
- For the Services, our total liability to you for all claims connected to them is limited to the fees you actually paid us in the 3 months before the event that caused the claim.
- We are not liable for problems caused by your content, your claims, your instructions, your delays, your accounts, third-party platforms or services, or anything outside our reasonable control.
- Nothing in these Terms limits liability that cannot legally be limited, such as liability for fraud, intentional wrongdoing or gross negligence, or for death or personal injury caused by negligence.
17. Indemnity
You agree to cover us (including reimbursing reasonable legal costs) for any claims, fines, losses or damages that arise from: material you sent us; claims made in your content; content you approved or published; your breach of these Terms or a Client Agreement; or your breach of any law, platform rule or someone else's rights. We will tell you about any such claim promptly and let you take part in handling it.
18. Ending our work together
- Either side may end the Services as set out in the Client Agreement. If there is no agreed notice period, either side may end monthly Services with 30 days' written notice (email is enough).
- We may suspend or end the Services immediately if you don't pay, seriously break these Terms, ask us to make illegal or harmful content, or behave abusively towards our team.
- When the Services end, you must pay for all work done up to the end date. Sections that by their nature should continue (such as payment, ownership, confidentiality, liability, indemnity and governing law) continue to apply.
- We may suspend or block anyone's access to the Site if we believe they are misusing it.
19. Events outside our control
Neither side is responsible for delays or failures caused by events beyond reasonable control, such as illness, natural disasters, power or internet outages, platform outages, cyber-attacks, war, strikes or government action. The affected side will tell the other as soon as possible and do what it reasonably can to limit the impact. Payment obligations for work already done are not affected.
20. Disputes and governing law
- If you have a complaint, please email [email protected] first. Both sides agree to try in good faith to solve it informally within 30 days before starting any legal action.
- These Terms, and any dispute about them, the Site or the Services, are governed by the laws of the Republic of Serbia.
- The courts in Belgrade, Serbia have exclusive jurisdiction, except where the law says you can bring a claim in your own country.
- To the extent the law allows, claims must be brought individually and not as part of a class or group action.
- If you are a consumer, nothing in these Terms removes rights that the law of your country gives you and that cannot be excluded by contract.
21. General
- Whole agreement: these Terms, our Privacy policy and any Client Agreement are the full agreement between us about their subject, and replace earlier discussions.
- Severability: if any part of these Terms is found invalid, the rest still applies, and the invalid part is replaced by the closest valid wording.
- No waiver: if we don't enforce a right straight away, we can still enforce it later.
- Transfer: you may not transfer your rights under these Terms without our written consent. We may transfer ours to a business that takes over VR Tactic, and will tell you if that happens.
- Independent parties: nothing in these Terms makes us partners, employees or agents of each other.
- Notices: we may contact you at the email address you gave us. You can contact us at [email protected].
- Language: these Terms are written in English. If they are translated, the English version prevails.
22. Changes to these Terms
We may update these Terms from time to time. The date at the top shows when they last changed. Changes apply from that date to use of the Site. For existing clients, significant changes to how the Services work will be sent by email and apply from the next billing period, unless you end the Services before then.
